על התפקיד מחלקת הייעוץ המשפטי לאגף השקעות מלווה את פעילות ההשקעות של מנורה מבטחים בארץ ובעולם, בכלל אפיקי ההשקעה – סחירים ולא סחירים. התפקיד כולל מתן ייעוץ משפטי שוטף למנהלי ההשקעות, ליווי והובלת עסקאות השקעה מורכבות, ניסוח וניהול משא ומתן על הסכמים מסחריים ופיננסיים ועבודה שוטפת מול יועצים חיצוניים, גופים פיננסיים ורגולטורים.
תחומי אחריות • ליווי השקעות בשוק הסחיר בישראל ובחו"ל • ייעוץ בנושאי שוק הון, ניירות ערך וממשל תאגידי • ליווי השקעות אלטרנטיביות לרבות קרנות השקעה, נדל"ן, תשתיות, אשראי פרטי ו-Private Equity • עריכה וניהול משא ומתן על הסכמי השקעה, מימון ומסמכים מסחריים • ייעוץ רגולטורי בתחום הגופים המוסדיים ושוק ההון • עבודה שוטפת מול גורמי השקעות בכירים בארגון ומול הנהלת האגף
דרישות חובה • עורך/ת דין מוסמך/ת בישראל • ותק של 4–6 שנים לאחר הסמכה • תואר LL.B ממוסד אקדמי מוביל • ניסיון ממשרד עורכי דין מוביל באחד או יותר מהתחומים: שוק הון וניירות ערך, מיזוגים ורכישות, בנקאות ומימון, קרנות השקעה ו-Private Equity או רגולציה פיננסית • אנגלית ברמה גבוהה מאוד, לרבות יכולות ניסוח ועריכת מסמכים משפטיים
יתרון • היכרות או ניסיון בתחום ההשקעות בשוק הסחיר או בתחום המימון • ניסיון קודם בגוף מוסדי, בית השקעות, בנק, חברת ביטוח או גוף פיננסי

About Us

The Legal Department supporting Menora Mivtachim's Investments Division is seeking an outstanding Legal Counsel to join its growing team.
As part of a dedicated team of legal counsels advising one of Israel's leading institutional investors, you will work closely with investment professionals, senior management, external counsel and regulators, providing legal support for a broad range of investment activities across public and private markets in Israel and abroad.
Menora Mivtachim is among Israel's largest financial groups, managing assets of over NIS 400 billion and serving as a significant institutional investor in the Israeli and global capital markets. The Investments Division manages diverse investment portfolios across publicly traded securities, private equity, private credit, infrastructure, real estate and other alternative investment strategies. The Role
As part of the legal team supporting the Investments Division, you will provide ongoing legal advice on a wide range of investment activities, including:

Public markets and securities investments in Israel and internationally
Capital markets, securities law and institutional-investor regulatory matters
Corporate governance and shareholder rights matters
Private equity, private credit, infrastructure and real estate transactions
Negotiation and drafting of investment, financing and commercial agreements
Regulatory matters applicable to institutional investors
Ongoing support for investment transactions from initial structuring through execution and portfolio management

Requirements

Israeli qualified lawyer with 4–6 years of post-qualification experience
LL.B. from a leading academic institution
Experience at a leading law firm in one or more of the following practice areas:

Investment Funds
Financial Regulation
